Terms of Service

1. Services

Atul Yadav provides freelance video editing and related digital post-production services.

Services may include, but are not limited to:

• Video editing and post-production
• Short-form and long-form video editing
• Captions and subtitles
• Motion graphics
• Visual effects
• Color correction and color grading
• Audio editing and enhancement
• Social media video editing
• Other services agreed upon between the client and Atul Yadav

The exact services, deliverables, turnaround time, revisions, and pricing will be agreed upon before work begins.

2. Client Responsibilities

The client is responsible for providing all necessary materials, instructions, references, assets, and information required to complete the project.

The client represents that they have the necessary rights, licenses, permissions, and authority to provide any video footage, images, music, audio, logos, fonts, documents, or other materials supplied for the project.

The client is responsible for ensuring that provided materials do not infringe the intellectual property, privacy, publicity, or other rights of any third party.

Delays in providing required materials, feedback, approvals, or instructions may affect the agreed delivery date.

3. Project Agreement and Scope

Before beginning a project, the parties may agree on the scope of work, price, deadline, number of revisions, deliverables, and other project requirements through email, messaging platforms, contracts, invoices, or other written communication.

Any work requested outside the original agreed scope may be treated as additional work and may result in additional fees or an adjusted delivery time.

4. Pricing and Payment

All prices will be communicated to the client before or during the project.

Unless otherwise agreed in writing:

• Payment is due according to the agreed payment schedule.
• Deposits or advance payments may be required before work begins.
• Additional work outside the agreed scope may incur additional charges.
• Third-party fees, licenses, stock assets, music licenses, plugins, or other external costs may be charged to the client where applicable.

Failure to make payment when due may result in suspension or termination of services.

5. Revisions

The number of included revisions, if any, will be determined by the individual project agreement.

A revision means a reasonable modification to the delivered work based on the original project requirements. A substantially different creative direction, new concept, significant restructuring, or additional work may be treated as a new request and may incur additional charges.

Clients are responsible for reviewing deliverables and communicating requested changes clearly and within a reasonable period.

6. Delivery

Final files will be delivered using an agreed delivery method, which may include cloud storage, file-transfer services, or other digital delivery platforms.

Delivery times are estimates unless a specific deadline has been expressly agreed upon in writing.

Delays caused by circumstances outside my reasonable control, including missing client materials, delayed feedback, technical failures, third-party services, or other unforeseen circumstances, may affect delivery timelines.

7. Approval and Final Deliverables

Once a client approves a final version or publishes, distributes, or otherwise uses the final deliverable, the project may be considered complete.

Additional changes requested after final approval may be treated as new work and may be subject to additional charges.

8. Ownership of Final Work

Unless otherwise agreed in writing and subject to full payment, the client will receive the agreed rights to use the final edited deliverables for the purposes specified in the project agreement.

Ownership and licensing of source footage, music, stock assets, fonts, templates, plugins, third-party materials, and other pre-existing materials remain with their respective owners.

Payment for editing services does not automatically transfer ownership of third-party assets.

9. Source Files and Project Files

Editable project files, project files, timelines, presets, working files, raw files, and other internal production materials are not automatically included in the final deliverables.

Source or editable project files may be provided only when specifically agreed upon in writing and may be subject to an additional fee.

10. Portfolio and Promotional Use

Unless the client requests otherwise in writing before publication or before the work is publicly released, Atul Yadav may display completed work, excerpts, screenshots, thumbnails, or publicly available portions of completed projects in a portfolio, website, social media profile, showreel, or promotional material for the purpose of demonstrating professional experience.

Confidential, unreleased, private, or NDA-protected work will not be publicly displayed where doing so would violate the applicable agreement or confidentiality obligations.

11. Confidentiality

Confidential information received from a client will be treated as confidential and will not knowingly be disclosed to third parties except:

• As necessary to provide the agreed services.
• Where authorized by the client.
• Where required by law or legal process.
• Where necessary to protect legal rights, security, or prevent fraud or abuse.

The client should notify Atul Yadav of any specific confidentiality requirements before sharing sensitive materials.

12. Third-Party Services and Platforms

The services may rely on third-party software, storage providers, AI tools, payment processors, file-transfer platforms, hosting providers, or other services.

I am not responsible for outages, changes, security incidents, restrictions, pricing changes, or failures caused by third-party services that are outside my reasonable control.

Third-party services may have their own terms and privacy policies, which apply independently.

13. Artificial Intelligence and Automated Tools

Where appropriate, AI-assisted or automated tools may be used during editing, transcription, caption generation, audio processing, image processing, or other production tasks.

The use of such tools does not guarantee that generated or processed results will always be completely accurate. Reasonable review and editing may be performed, but clients remain responsible for reviewing final content before publication where accuracy is important.

If a project requires that AI or automated tools not be used, the client should communicate this requirement before work begins.

14. Client Content and Legal Compliance

The client is solely responsible for the legality of content supplied for editing and for how the final content is published or distributed.

Atul Yadav does not knowingly provide services intended to facilitate unlawful activity, copyright infringement, fraud, harassment, or other prohibited conduct.

The client is responsible for obtaining all necessary permissions, licenses, releases, and consents related to their content.

15. Cancellation and Termination

Either party may request cancellation of a project, subject to the terms of any specific written agreement.

If a project is cancelled after work has begun, the client may be responsible for payment for work already completed, time spent, approved expenses, and any non-refundable third-party costs.

Atul Yadav may suspend or terminate services where there is non-payment, abusive conduct, repeated violation of these Terms, unlawful requests, or other circumstances that make continued work unreasonable.

16. Refunds

Refund eligibility will depend on the circumstances of the project and any specific agreement between the parties.

Payments for work already completed may not be refundable.

Deposits or payments covering non-refundable third-party expenses may also be non-refundable where those expenses have already been incurred.

17. No Guarantee of Business Results

Video editing services are provided for the production of content and do not guarantee specific business, financial, advertising, audience-growth, engagement, monetization, or platform results.

Atul Yadav does not guarantee that a video will achieve a particular number of views, subscribers, followers, sales, revenue, or other performance metrics.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Atul Yadav will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of the website or services.

To the extent permitted by law, any liability relating to a specific project will be limited to the amount actually paid by the client for the affected services, unless otherwise required by applicable law or agreed in writing.

19. Website Availability

I make reasonable efforts to keep the website available and functional, but I do not guarantee that the website will always be available, uninterrupted, secure, error-free, or free from technical issues.

The website may occasionally be modified, suspended, or unavailable for maintenance, updates, technical issues, or other reasons.

20. Intellectual Property

Unless otherwise stated, all original website content created by Atul Yadav, including written content, branding, graphics, designs, layouts, logos, and other original materials, is owned by Atul Yadav or used under appropriate authorization.

No rights are granted to reproduce, modify, distribute, sell, or commercially exploit such materials without prior written permission, except where permitted by applicable law.

Client-owned materials and properly licensed third-party materials remain the property of their respective owners.

21. Prohibited Use of the Website

You agree not to:

• Use the website for unlawful purposes.
• Attempt to gain unauthorized access to the website or its systems.
• Interfere with website security or functionality.
• Copy or reproduce protected website content without authorization.
• Use the website to distribute malicious software or harmful material.
• Submit false, fraudulent, or misleading information.

22. Changes to These Terms

These Terms may be updated from time to time to reflect changes in services, business practices, technology, or applicable legal requirements.

The updated version will be posted on this website with a revised “Last Updated” date.

Your continued use of the website or services after changes are posted may constitute acceptance of the revised Terms to the extent permitted by applicable law.

23. Governing Law

These Terms will be governed by and interpreted in accordance with the applicable laws of India, unless otherwise required by applicable law or agreed upon in writing.

Any dispute arising in connection with these Terms or the services should first be addressed through good-faith communication between the parties.

24. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.

25. Entire Agreement

These Terms, together with any written project agreement, quotation, invoice, statement of work, or other written agreement between the client and Atul Yadav, constitute the understanding governing the applicable services.

Where a specific written project agreement conflicts with these Terms, the specific written agreement will control for that project to the extent of the conflict.
